By accessing this website and/or placing a Booking with us, you are agreeing to comply with and be bound by the following Terms and Conditions ("Terms"), which together with our Privacy Policy govern our relationship with you in relation to this website and the provision of our coaching training courses. If you do not agree to these Terms, please do not use this website or make a Booking.
Please read these Terms carefully before making a Booking. Your attention is drawn in particular to the sections entitled 'Cancellation and Refund Policy' and 'Limitation of Liability'.
1. Definitions
In these Terms, the following definitions apply:
"TPC Coaching Academy" / "We" / "Us" / "Our" refers to TPC Leadership Ltd, a company registered in England and Wales. Our registered office is 29 Gildredge Road, Eastbourne, East Sussex BN21 4RU. Our company registration number is 04332637. Our VAT registration number is 826890200.
"You" / "Your" refers to the individual or organisation placing a Booking with us and/or using this website.
"Course" means any coaching training course or programme listed and available for booking on our website.
"Booking" means a reservation of a place on a Course made by You through our website or by other agreed means.
"Invoice" means the formal payment request We issue to You following a Booking.
"Booking Confirmation" means the written confirmation ( by email) We send to You confirming your reserved place on a Course.
"Course Start Date" means the date on which a Course is scheduled to commence, as listed on the website at the time of Booking.
2. Copyright and Intellectual Property
The copyright and all other intellectual property rights in this website and its contents (including but not limited to website design, text, logos, trade names, graphics, course materials and any other content) are owned by Us or our licensors. You may only view or print pages for your own personal use. Any other use is strictly prohibited without our prior written consent.
Course materials provided to participants during or in connection with any Course remain our intellectual property and must not be reproduced, distributed, shared or used for commercial purposes without our express prior written permission.
3. Website Content
We take reasonable care to ensure the information on this website is accurate and up to date. However, We do not warrant that our website is entirely error-free, and We will not be responsible for any loss or damage arising from your reliance on information contained on the website.
We reserve the right to update, change or remove any content on the website at any time and without advance notice. Course descriptions, dates, venues and fees may be subject to change. Where changes affect a confirmed Booking, We will notify You promptly.
Our website may contain links to third-party websites. These are provided for your information only. We do not endorse or accept responsibility for the content of third-party websites, and you access them at your own risk.
4. Booking a Course
4.1 How to Reserve a Place
You may reserve a place on a Course by completing the booking process on our website. Completion of the booking process constitutes an offer by You to enter into a contract with Us for the provision of the relevant Course.
4.2 Payment by Invoice
Where a place is reserved via invoice, the following conditions apply:
• Upon completion of your Booking, We will issue an Invoice to the email address You provide.
• Full payment of the Invoice must be received by Us no later than six (6) weeks before the Course Start Date.
• If payment is not received in full by the payment deadline, We reserve the right to cancel your reservation and offer the place to another participant. In such circumstances, We will notify You by email.
• Your reservation of a place on a Course does not constitute a confirmed Booking until payment has been received in full or alternative payment arrangements have been expressly agreed by Us in writing.
4.3 Booking Confirmation
Your Booking will be confirmed when We send You a Booking Confirmation by email. The contract between You and Us is formed at the point We send that Booking Confirmation. We reserve the right to decline any Booking at our absolute discretion, in which case We will notify You and no charge will be made.
4.4 Booking Deadlines
Bookings for Courses must be made and payment received at least six (6) weeks before the Course Start Date unless otherwise agreed by Us in writing. We may, at our discretion, accept late bookings subject to availability, but payment will be required immediately upon Booking.
5. Pricing and Payment
All prices shown on our website are in Pounds Sterling (GBP). Prices are inclusive of VAT as stated on the relevant Course page. Our VAT registration number is 826890200.
We accept payment by bank transfer (BACS) in accordance with the details shown on the Invoice.
Payment must be made in full and cleared funds received by the due date shown on the Invoice. We reserve the right to charge interest on overdue invoices at the rate of 8% per annum above the Bank of England base rate, in accordance with the Late Payment of Commercial Debts (Interest) Act 1998.
6. Cancellation and Refund Policy
6.1 Cancellation by You
If You need to cancel your Booking, You must notify Us in writing (by email to info@tpccoachingacademy.co.uk). The following cancellation terms apply:
• Cancellation more than 6 weeks before the Course Start Date: full refund of any fees paid.
• Cancellation between 4 and 6 weeks before the Course Start Date: 50% of the course fee will be retained by Us.
• Cancellation less than 4 weeks before the Course Start Date: 100% of the course fee will be retained by Us, and any outstanding Invoice remains payable in full.
Where You have not yet paid and an Invoice is outstanding, cancellation does not extinguish your obligation to pay if the cancellation falls within a period where a fee is retained. We will issue a revised Invoice or credit note as appropriate.
We will consider requests to transfer your Booking to another Course date or to substitute another individual in your place, subject to availability and at our discretion. Please contact Us as early as possible if this is required.
6.2 Cancellation by Us
We reserve the right to cancel or postpone a Course in the event of insufficient enrolments, unforeseen circumstances, coach illness or any other event outside our reasonable control. In such circumstances:
• We will notify You as soon as reasonably practical..
• You will be offered a place on an alternative Course date (subject to availability) or a full refund of any fees already paid.
• We will not be liable to You for any other costs, losses or expenses arising from a cancellation or postponement by Us, including travel, accommodation or any other consequential costs.
7. Transfers
You may request a transfer to a different Course, provided You notify Us in writing at least 2 weeks before the Course Start Date. We reserve the right to approve or decline such requests at our discretion. No additional charge will normally be made for an approved substitution, though We reserve the right to apply an administration fee of up to £150.
Bookings are non-transferable between Courses without our prior written consent. Requests for transfers to an alternative Course date will be considered on a case-by-case basis and may be subject to availability and any difference in course fee.
8. Course Delivery
We will use reasonable endeavours to deliver Courses in accordance with the descriptions on our website. However, We reserve the right to make reasonable changes to the content, format, venue or delivery method of any Course where necessary, provided the overall learning outcomes remain substantially the same.
You are responsible for ensuring that You (and any substituted participant) meet any prerequisites or requirements specified for a Course. We cannot accept responsibility for any participant who is unable to benefit from a Course due to not meeting stated requirements.
9. Participant Conduct
All participants are expected to behave in a professional and respectful manner throughout any Course. We reserve the right to remove from a Course any participant whose behaviour is deemed by Us to be disruptive, offensive, discriminatory or otherwise unacceptable. No refund will be issued in such circumstances.
Recording of Course sessions (audio, video or otherwise) is not permitted without our express prior written consent.
10. Health and Safety
You are responsible for ensuring that any participant attending a Course is physically and mentally fit to participate in all aspects of the Course. Please notify Us of any medical conditions, disabilities or other circumstances that may affect a participant's ability to take part, so We can make reasonable adjustments where possible.
11. Viruses, Hacking and Other Offences
You must not misuse our website by knowingly introducing viruses, trojans, worms, logic bombs or other malicious or technologically harmful material. You must not attempt to gain unauthorised access to our website, the server on which it is stored, or any server, computer or database connected to our website. Any breach of this provision may constitute a criminal offence under the Computer Misuse Act 1990.
12. Your Account
If You register an account on our website, You are responsible for maintaining the confidentiality of your login credentials. You agree to notify Us immediately if You become aware of any unauthorised use of your account.
We reserve the right to suspend or terminate any account where We reasonably believe these Terms have been breached or where We consider it appropriate to do so.
13. Your Information and Data Protection
We process personal data collected through the website and in connection with Bookings in accordance with our Privacy Policy, which is available on our website. By making a Booking or registering on our website, You confirm that You have read and understood our Privacy Policy.
We are committed to protecting your personal data and comply with our obligations under the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018.
14. Events Outside Our Control (Force Majeure)
We will not be liable or responsible for any failure to perform, or delay in performance of, any of our obligations under a contract with You that is caused by events outside our reasonable control. Such events include (but are not limited to): acts of God; severe weather conditions; pandemic or epidemic; government action; strikes or industrial disputes; failure of utility services; or failure of third-party suppliers.
In such circumstances, We will notify You as soon as reasonably practicable and will use reasonable endeavours to perform our obligations at the earliest possible opportunity.
15. Limitation of Liability
Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited by law.
Subject to the above, We will not be liable for:
• any indirect or consequential loss or damage;
• loss of income, profit or revenue;
• loss of data or business opportunity;
• any loss arising from your failure to meet the requirements or prerequisites of a Course;
• costs associated with travel, accommodation or subsistence incurred in connection with any Course that is cancelled, postponed or modified.
To the fullest extent permitted by law, our total liability to You in respect of any Booking shall not exceed the total fees paid by You for the relevant Course.
16. Consumer Rights
If You are a consumer (booking as an individual, not in the course of a business), You may have additional rights under consumer protection legislation, including the Consumer Rights Act 2015. Nothing in these Terms affects your statutory rights.
Please note that the Consumer Contracts Regulations 2013 right to cancel ("cooling off" period) may apply to distance contracts. However, where You have requested and We have agreed that a Course will commence within 14 days of Booking, your right to cancel without charge may be reduced or extinguished in accordance with those Regulations. We will draw this to your attention at the point of Booking.
17. Discounts and Promotional Codes
From time to time We may offer discounted course fees or promotional codes. These are subject to any additional terms specified at the time of the promotion. We reserve the right to withdraw a promotion at any time without notice. Promotional codes cannot be applied retrospectively to confirmed Bookings.
18. Amending These Terms and Conditions
We may update these Terms at any time. Any changes will take effect from the date on which they are published on our website. You will be subject to the Terms in force at the time of your Booking, unless any change is required by law, in which case it may apply to existing Bookings.
19. Assignment
We may freely assign, sub-contract or otherwise transfer our rights and obligations under these Terms, provided that the quality of the Course is not adversely affected. You may not assign, transfer or otherwise dispose of any of your rights or obligations under these Terms without our prior written consent.
20. Notices
All written notices to Us under these Terms should be sent to TPC Leadership Ltd at 29 Gildredge Road, Eastbourne, East Sussex BN21 4RU, or by email to info@tpccoachingacademy.co.uk. Notices to You will be sent to the email address provided at the time of Booking. An email notice is deemed received 24 hours after sending.
21. General
These Terms and any contract between Us and You shall be governed by and construed in accordance with the laws of England and Wales. You agree to submit to the exclusive jurisdiction of the courts of England and Wales in respect of any dispute arising under or in connection with these Terms.
If any provision of these Terms is found by a court of competent jurisdiction to be invalid, unlawful or unenforceable, that provision shall be deemed severed from the remaining Terms, which shall continue in full force and effect.
Our failure to enforce any provision of these Terms at any time shall not constitute a waiver of our right to enforce it subsequently.
No person who is not a party to these Terms shall have any rights under them pursuant to the Contracts (Rights of Third Parties) Act 1999.
